Mr. Keegan is one of the original shareholders in the Company and was elected a director in 1996. He served as Chairman of the Board of Directors for the Company from 1996 to 2003. He was also elected President and Chief Executive Officer in February 2002. Mr. Keegan was the co-founder of Morgan Keegan Company and served as its President and COO until his retirement in 1985. Mr. Keegan has served as a member of the ESAC Industry Advisory Council, an organization formed to provide strategic direction for the development of the PEO industry. He has also served as the Chairman of the Board of Governors of the NASD and Chairman of the Board of Directors of NASDAQ, Inc. He currently acts as a Hearing Panelist for the NASDAQ Listing Qualifications Review Committee. Mr. Keegan served as a Director for AutoZone, Inc. from 1991 to 2003, and he currently serves as a Director for EMERGE Memphis and the Regional Medical Center Foundation. Mr. Keegan holds a B.S. degree from The United States Military Academy, West Point, N.Y.
